DutyDesk היא תוכנה שרצה על המחשב שלכם ועונה ללקוחות שלכם בשמכם. התנאים כאן מסבירים מה הרישיון מאפשר, מה אנחנו מבטיחים, ומה נשאר באחריותכם — ובעיקר את החלק הזה, כי הבוט מדבר בשם העסק שלכם.

על מה התנאים האלה חלים
התנאים חלים על אפליקציית DutyDesk ועל האתר הזה, והם הסכם ביניכם לבין AlphaMerge. שימוש באחד מהם משמעו הסכמה להם.
מדיניות הפרטיות היא חלק מהתנאים. היא מתארת מה נשאר על המחשב שלכם ומה מגיע אלינו, וההפרדה הזאת חשובה גם כאן: רוב מה שהתוכנה נוגעת בו לא עובר דרכנו כלל.
הרישיון
מפתח מוצר תקף מקנה לכם זכות אישית ולא ניתנת להעברה להשתמש באפליקציה לתקופה ששולמה. התוכנה ניתנת ברישיון ולא נמכרת.
ניסיון, תשלום והחזרים
תקופת ניסיון של שלושה ימים נפתחת עם ההרשמה, בלי כרטיס אשראי, וכל היכולות פתוחות בה.
המנוי עולה ₪200 לחודש או ₪2,000 לשנה, בתשלום דרך Stripe. חשבונית נשלחת במייל אחרי כל חיוב ונשמרת באזור החשבון.
חידוש אוטומטי כבוי בכל המנויים. לקראת סוף התקופה תישלח תזכורת, והחידוש קורה בלחיצה שלכם. מי שלא מחדש — המנוי פשוט נגמר בתאריך שלו, בלי חיוב ובלי מה לבטל.
החזר מלא תוך 14 יום מהחיוב הראשון, בלי לשאול למה.
מה קורה כשהמנוי נגמר
הבוט מפסיק לענות אוטומטית והאפליקציה נשארת פתוחה לקריאה. הכללים, התפריטים ויומן ההודעות שבניתם נשמרים במלואם על המחשב שלכם. חידוש מחזיר את הכול מיד, בלי להגדיר שוב.
אתם אחראים למה שהבוט אומר
הבוט עונה בשם העסק שלכם, מתוך כללים שאתם כתבתם — ואם הפעלתם מענה בבינה מלאכותית, גם מתוך תשובות שמודל מנסח. התשובות האלה הן שלכם לכל דבר: כלפי הלקוח, כלפי הרשות, וכלפי הפלטפורמה.
לכן כדאי לקרוא כלל לפני שמפעילים אותו, ולבדוק מה הבוט עונה על שאלות שהמחיר או הזמינות שלהן משתנים. האפליקציה לא בודקת אם מה שכתבתם נכון, ואנחנו לא רואים את זה בכלל.
הכללים של הפלטפורמות עצמן
האפליקציה מתחברת לרשתות שאינן שלנו, ולכל אחת מהן יש תנאים משלה שגוברים על מה שאנחנו מאפשרים טכנית. השימוש בהן הוא באחריותכם.
מה אנחנו לא יכולים להבטיח
הרשתות שהאפליקציה מתחברת אליהן אינן שלנו. פרוטוקול משתנה, כלל משתנה, וערוץ עלול להפסיק לעבוד עד שתצא גרסה מעודכנת. אנחנו מתחזקים את האפליקציה ומוציאים עדכונים, ולא יכולים להתחייב שערוץ מסוים יעבוד תמיד.
המידע נמצא אצלכם. אין לנו עותק שלו ואין לנו דרך לשחזר אותו — לא אחרי מחיקה, לא אחרי תקלת דיסק ולא אחרי הסרה של האפליקציה. גיבוי הוא באחריותכם.
האפליקציה בודקת את הרישיון מול השרת שלנו כל כמה דקות. אם השרת אינו זמין היא ממשיכה לעבוד למשך תקופת חסד קצרה ואז נעצרת, עד שהחיבור חוזר.
בינה מלאכותית ותמלול
מענה בבינה מלאכותית ותמלול הודעות קוליות כבויים כברירת מחדל. אם תפעילו אותם, תזינו מפתח משלכם לספק שבחרתם ותשלמו לו ישירות על השימוש; אנחנו לא גובים על זה דבר.
כשהם פועלים, תוכן ההודעות הרלוונטיות נשלח מהמחשב שלכם אל הספק שבחרתם. הוא לא עובר דרכנו.
סיום
אתם יכולים להפסיק בכל רגע: לא לחדש, או פשוט להסיר את האפליקציה.
אנחנו רשאים להשעות או לבטל מפתח במקרה של הפרה — שיתוף של מפתח, שימוש בתוכנה לעבירה על החוק, או שימוש שמפר את תנאי אחת הפלטפורמות. נאמר לכם מה ההפרה.
ביטול מפתח עוצר את המענה האוטומטי. הוא לא מוחק שום דבר מהמחשב שלכם, ואין לנו גישה אליו.
אחריות
התוכנה ניתנת כפי שהיא. במידה המרבית שהדין מתיר, האחריות שלנו מוגבלת לסכום ששילמתם בשנים-עשר החודשים שקדמו לתביעה, ואיננו אחראים לנזק עקיף, לאובדן רווח או לאובדן מידע.
שום דבר כאן אינו מגביל אחריות שהדין אינו מתיר להגביל.
שינויים בתנאים
שינוי מהותי יפורסם כאן והתאריך למעלה ישתנה איתו. המשך שימוש אחרי הפרסום הוא הסכמה לנוסח החדש.
הדין החל
התנאים האלה כפופים לדיני מדינת ישראל, וסמכות השיפוט הבלעדית בכל מחלוקת הנוגעת אליהם נתונה לבתי המשפט המוסמכים בתל אביב-יפו.

What you may do with the software, and what stays your responsibility.
DutyDesk runs on your own computer and answers your customers in your name. These terms set out what the licence allows, what we promise, and what remains yours to answer for — mostly that last part, because the bot speaks as your business.

What these terms cover
They cover the DutyDesk application and this website, and they are an agreement between you and AlphaMerge. Using either means accepting them.
The privacy policy is part of these terms. It describes what stays on your computer and what reaches us, and that line matters here too: most of what the software touches never passes through us at all.
The licence
A valid product key grants you a personal, non-transferable right to use the application for the period paid for. The software is licensed, not sold.
Trial, payment and refunds
A three-day trial opens when you register, with no card, and every capability is open in it.
A subscription is ₪200 a month or ₪2,000 a year, paid through Stripe. An invoice is emailed after every charge and kept in your account area.
Auto-renewal is off on every subscription. A reminder goes out towards the end of the period and the renewal happens on your click. If you do not renew, the subscription simply ends on its date — no charge, and nothing to cancel.
A full refund within 14 days of the first charge, with no questions asked.
When a subscription ends
The bot stops replying automatically and the app stays open to read. The rules, the flows and the message log you built are kept in full on your computer. Renewing brings all of it back immediately, with nothing to set up again.
You are responsible for what the bot says
The bot answers in your business’s name, from rules you wrote — and, if you switched AI replies on, from answers a model composes. Those answers are yours in every sense: to the customer, to a regulator, and to the platform.
So read a rule before you switch it on, and check what the bot answers about prices and availability that change. The app does not check whether what you wrote is true, and we do not see it at all.
The messaging platforms’ own rules
The app connects to networks that are not ours. Each has terms of its own, and those override what we happen to make technically possible. Using them is your responsibility.
What we cannot promise
The networks the app connects to are not ours. A protocol changes, a rule changes, and a channel can stop working until an updated version ships. We maintain the app and publish updates; we cannot undertake that any particular channel will always work.
Your data is with you. We hold no copy of it and have no way to restore it — not after a deletion, not after a disk failure, and not after the app is uninstalled. Backups are yours to keep.
The app checks its licence against our server every few minutes. If the server cannot be reached it keeps working for a short grace period and then stops, until the connection returns.
AI and transcription
AI replies and voice-note transcription are off by default. If you turn them on, you enter your own key for the provider you chose and pay that provider directly for what you use; we charge nothing for it.
While they are on, the content of the relevant messages is sent from your computer to the provider you chose. It does not pass through us.
Ending it
You can stop at any time: do not renew, or simply remove the app.
We may suspend or revoke a key for a breach — sharing a key, using the software to break the law, or use that breaches one of the platforms’ terms. We will tell you what the breach was.
Revoking a key stops the automatic replying. It deletes nothing from your computer, and we have no access to it.
Liability
The software is provided as it is. To the fullest extent the law allows, our liability is limited to the amount you paid in the twelve months before the claim, and we are not liable for indirect loss, loss of profit or loss of data.
Nothing here limits liability that the law does not allow to be limited.
Changes to these terms
A material change will be published here and the date above will change with it. Continuing to use the software after that is acceptance of the new text.
Governing law
These terms are governed by the laws of the State of Israel, and the competent courts of Tel Aviv-Yafo have exclusive jurisdiction over any dispute arising under them.
